MyBBFF Content

The Site contains HTML, applications, messages, text, files, images, photos, video, sounds, profiles, works of authorship and other content (collectively, “Content”) of MyBBFF or its licensors (“MyBBFF Content”). The Site (including the MyBBFF Content) is protected by copyright, trademark, trade secret and other laws; and as between you and MyBBFF, MyBBFF owns and retains all rights in the Site and the MyBBFF Content. MyBBFF hereby grants to you a limited, revocable, non-sublicensable license to access, display and perform the MyBBFF Content (excluding any computer code) solely for your personal, non-commercial use and solely as necessary to access and use the Site. Except as expressly permitted by MyBBFF in these Terms or on the Site, you may not copy, download, stream, capture, reproduce, duplicate, archive, upload, modify, translate, create derivative works based upon, publish, broadcast, transmit, retransmit, distribute, perform, display, sell or otherwise use or transfer any MyBBFF Content. You may not, either directly or through the use of any device, software, online resource or other means, remove, alter, bypass, avoid, interfere with or circumvent any copyright, trademark or other proprietary notice on the MyBBFF Content or any digital rights management mechanism, device, or other content protection or access control measure associated with the MyBBFF Content.

Trademarks

The trademarks, logos and service marks (“Marks”) displayed on the Site are the property of MyBBFF or other third parties. You are not permitted to use these Marks without the prior written consent of MyBBFF or such third party.

Third-Party Services

The Site may make available, or third parties may provide, links to other websites, applications, resources, advertisements, Content or other products or services created, hosted or made available by third parties (“Third-Party Services”), and such third parties may use other third parties to provide portions of the Third-Party Service to you, such as technology, development or payment services. When you access or use a Third-Party Service, you are interacting with the applicable third party, not with MyBBFF, and you do so at your own risk. MyBBFF is not responsible for, and makes no warranties, express or implied, as to, the Third-Party Services or the providers of such Third-Party Services (including without limitation the accuracy or completeness of the information provided by such Third-Party Service or the privacy practices of any third party). Inclusion of any Third-Party Service or a link thereto on the Site does not imply approval or endorsement of such Third-Party Service. MyBBFF is not responsible or liable for the Content or practices of any Third-Party Service or third party, even if such Third-Party Service links to, or is linked by, the Site.

Compliance with Laws

Without limiting the foregoing, you represent that, in connection with your performance under these Terms, you shall: (a) comply with Applicable Laws relating to anti-bribery and anti-corruption, which may include the US Foreign Corrupt Practices Act of 1977 and the UK Bribery Act 2010; (b) comply with Applicable Laws administered by Canada or other governmental entity imposing export controls and trade sanctions (“Export Laws”), including designating countries, entities and persons (“Sanctions Targets”); and (c) not directly or indirectly export, re-export or otherwise deliver any MyBBFF software, content or services to a Sanctions Target, or broker, finance or otherwise facilitate any transaction in violation of any Export Laws. You represent that you are not a Sanctions Target or prohibited from receiving MyBBFF software, content or services pursuant to these Terms under Applicable Laws, including Export Laws.

Global Availability

MyBBFF controls the Site from Alberta, Canada offices. If you use this website from other locations, you are responsible for compliance with local Applicable Laws. MyBBFF makes no representation that the products and services referenced herein are appropriate, or available, worldwide.

Indemnity

You agree to defend, indemnify and hold harmless MyBBFF, its affiliates and their respective employees, contractors, agents, officers and directors from and against any and all claims, damages, obligations, losses, liabilities, costs, debt or expenses (including without limitation attorneys’ fees) arising out of or related to any claim, suit, action or proceeding by a third party arising out of or relating to your use of the Site, breach of these Terms (including any MyBBFF policy referenced in these Terms), violation of law, or any Content that you post, upload or cause to interface with the Site, or otherwise transfer, process, use or store in connection with the Site.

THE SITE AND ALL CONTENT AND OTHER ITEMS MADE AVAILABLE BY MYBBFF ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTY OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. MYBBFF ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (i) ERRORS, MISTAKES OR INACCURACIES OF DATA OR INFORMATION POSTED, DISPLAYED, PUBLISHED OR MADE AVAILABLE FOR DOWNLOAD OR USE ON THE SITE, (ii) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM USE OF THE SITE, (iii) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SITE, OR (iv) THE DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF ANY THIRD PARTY NOT UNDER MYBBFF’S CONTROL.

Limitation of Liability.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW: (a) IN NO EVENT SHALL MYBBFF, ITS AFFILIATES OR THEIR RESPECTIVE EMPLOYEES, CONTRACTORS, AGENTS, OFFICERS OR DIRECTORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR BUSINESS INTERRUPTION, LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATING TO THE SITE; AND (b) IN NO EVENT SHALL MYBBFF’S CUMULATIVE AND AGGREGATE LIABILITY UNDER THESE TERMS EXCEED TWO HUNDRED CANADIAN DOLLARS. THE EXCLUSIONS AND LIMITATIONS IN THIS SECTION APPLY WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR ANY OTHER BASIS, EVEN IF YOU HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

Responsibility for End Users

You are responsible for violations of these Terms by anyone using the Site with your permission or using your account on an unauthorized basis. Your use of the Site to assist another person in an activity that would violate these Terms if performed by you is a violation of these Terms. These Terms applies to anyone accessing or using the Site; however, each provision in these Terms shall be interpreted to include, and apply to, any action directly or indirectly taken, authorized, facilitated, promoted, encouraged or permitted by a user of the Site, even if such person did not themselves violate the provision.

Termination and Monitoring

If you violate these Terms, MyBBFF may suspend or terminate your use of the Site. MyBBFF’s right to suspend or terminate your use of Site applies even if a breach is committed unintentionally or without your authorization if MyBBFF believes that suspension or termination is necessary to ensure compliance with Applicable Laws or to protect the rights, safety, privacy, security or property of MyBBFF, its customers or third parties.

MyBBFF reserves the right, but does not assume the obligation, to investigate any violation of these Terms or misuse of the Site. MyBBFF has the right in its sole discretion to edit, refuse to post or remove any Content posted, displayed, published or made available for download or use on the Site that MyBBFF finds to be in violation of these Terms. MyBBFF may report any activity that it suspects violates any law or regulation to appropriate law enforcement officials, regulators, or other appropriate third parties. Such reporting may include disclosing appropriate customer data. MyBBFF also may cooperate with appropriate law enforcement agencies, regulators, or other appropriate third parties to help with the investigation and prosecution of illegal conduct by providing network and systems information related to alleged violations.

Electronic Communications

When you visit the Site or send emails to MyBBFF, you are communicating with MyBBFF electronically; and you consent to receive communications from MyBBFF electronically. MyBBFF will communicate with you by email or by posting notices on the Site. You agree that all agreements, notices, disclosures and other communications that MyBBFF provides to you electronically satisfy any legal requirement that such communications be in writing.

Modifications

MyBBFF may modify these Terms at any time by posting a revised version on the Site. By accessing the Site, you agree to the latest version of these Terms.

Governing Law

This Agreement will be interpreted, construed and enforced in all respects in accordance with the laws of the Province of Alberta, without reference to its choice of law principles. Any legal action or proceeding arising under or relating to this Agreement shall be brought exclusively in the provincial or federal courts located in Calgary, Alberta, Canada, and the Parties expressly consent to personal jurisdiction and venue in those courts.

Miscellaneous

These Terms constitute the complete and exclusive statement of the agreement between the Parties and supersede all proposals, oral or written, and all other communications between the Parties relating to the subject matter of these Terms. In the event any information posted on the Site from time to time conflicts with any provision of these Terms, the applicable provision of these Terms shall control. Any terms and conditions of any other instrument issued by you in connection with these Terms which are in addition to, inconsistent with or different from these Terms shall be of no force or effect. These Terms do not, and shall not be construed to, create any partnership, joint venture, employer-employee, agency or franchisor-franchisee relationship between you and MyBBFF. You may not assign, transfer or sublicense all or any of your rights or obligations under these Terms without MyBBFF’s express prior written consent. MyBBFF may assign, transfer or sublicense all or any of MyBBFF’s rights or obligations under these Terms without restriction. The failure of MyBBFF to exercise or enforce any condition, term or provision of these Terms will not operate as a waiver of such condition, term or provision. Any waiver by MyBBFF of any condition, term or provision of these Terms shall not be construed as a waiver of any other condition, term or provision. If any provision of these Terms is held invalid or unenforceable, the remainder of these Terms shall continue in full force and effect. You agree that a printed version of these Terms and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to these Terms to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. MyBBFF will not be responsible for failures to fulfill any obligations due to causes beyond its control. Non-English translations of these Terms are provided for convenience only. In the event of any ambiguity or conflict between translations, the English version is authoritative and controls.

Agreement to Terms

By using our services, you (“the Client”) agree to these Terms and Conditions in full. You confirm that you have the authority to bind any business on whose behalf you use our services.

Project Initiation

The cost of the web design project will be as outlined on the invoice provided to you, reflecting the scope and specifications discussed. This price is subject to adjustments based on actual project needs which will be communicated and must be approved by you before implementation.

Client and Company Responsibilities

Client’s Responsibilities: You agree to provide all necessary materials (e.g., logos, text, images, social media links, hosting credentials) in the required formats and within the specified deadlines. You are also required to adhere to the payment schedule agreed upon in this agreement.

Company’s Responsibilities: MyBBFF will perform all services outlined in the Statement of Work with professional diligence and skill. We are not responsible for delays caused by the Client’s failure to provide necessary content or approvals on time.

Project Timeline and Delays

The timeline for the completion of your website will be specified in the invoice. The following delay terms apply:

If our requests for materials or feedback are not responded to or insufficiently responded to within 14 days, the project may be delayed and queued accordingly.

Delays of more than 28 days without a valid reason will result in project suspension. The 50% balance must be paid to restart the project.

Non-responsiveness exceeding 90 days without a valid reason will lead to the project being considered abandoned, subsequently terminating any obligation or commitments, without refund.

Payment Terms

50/50 Payments: A non-refundable deposit of 50% of the total project cost is required upon booking the project, to secure your slot in our production schedule. The final 50% payment is due on the launch date specified in the initial invoice, irrespective of whether the website is actually launched on that date.

1 Year Payments: Monthly payments start as soon as the web design process begins.

If a web maintenance plan is purchased, billing will commence on the first of the month following the scheduled launch date, whether the site has launched or not.

Web Maintenance and Hosting

Different web maintenance plans are available and will be described during the sales process. If you choose not to purchase a web maintenance plan from us, our obligations end once the website is completed and approved, except possibly for assisting with data migration. Note: We reserve the right to decline migration to substandard hosting services that do not meet our operational requirements.

Browser and Device Compatibility

We test our websites on the latest versions of Chrome, Firefox, and Safari across various devices. However, we cannot guarantee that the website will appear identical on all devices due to differences in screen resolutions and aspect ratios.

Revisions and Additional Work

Revisions included in your project will be specified in the invoice. Additional requests or extended revisions will be billed at an hourly rate of $120.

Intellectual Property and Credits

MyBBFF retains the right to include a design credit link and feature the project in our portfolio. Should you wish to request the removal of this credit, please inform us accordingly.

Liability

While MyBBFF endeavours to create a successful website, we accept no liability for the direct or indirect business performance outcomes associated with the site.

General

These Terms and Conditions are governed by the laws applicable in Alberta, Canada. They constitute the entire agreement between you and MyBBFF regarding your use of our services. If any part of these terms is held to be invalid or unenforceable, the remainder will continue to be valid and enforceable.

Service Coverage

Our Web Maintenance services include hosting on a dedicated server with a guaranteed 99.999% uptime, regular updates, continuous monitoring and security, routine backups, and support services essential for maintaining website performance and security.

Contract Terms

The Web Maintenance service is offered under a 1-year contract that automatically renews.

To cancel the service, a written notice must be submitted 30 days prior to the end of the current contract term.

Liability and Third-Party Services

While we ensure high reliability with our hosting services, MyBBFF is not liable for any potential downtime or losses resulting from such downtime due to our reliance on third-party service providers. We strive to adhere to third-party policies and maintain high service standards, but cannot guarantee third-party service levels.

General Provisions

These Terms and Conditions constitute the entire agreement between you and MyBBFF regarding the Web Maintenance services.

They are governed by the laws of Alberta, Canada, and any disputes will be subject to the exclusive jurisdiction of the courts in this location.

MyBBFF leverages its understanding of search engine algorithms to improve your website’s ranking. However, we do not guarantee specific results, as changes in algorithms and policies by search engines can affect outcomes.

Client and Company Responsibilities

Client’s Responsibilities: You agree to provide all necessary access to your website and other platforms as needed for the effective execution of SEO strategies.

Company’s Responsibilities: We commit to using our knowledge and experience to perform SEO services to the best of our ability, following current best practices.

Contract Terms

SEO services are provided under a 6-month or 1-year contract, automatically renewing at the end of each term. To cancel, a written notice must be submitted 30 days prior to the end of the current contract term.

Liability

MyBBFF is not liable for the performance of your website or any specific rankings achieved as a result of our SEO efforts. We depend on third-party platforms, which may change their operations and policies without notice.

Payment Terms

Payment terms are specified on your invoice and are non-refundable. You are responsible for the full balance of the contract for the term agreed upon.

General

These terms and conditions are governed by the laws of Alberta, Canada. They represent the entire agreement between you and MyBBFF regarding your use of our SEO services.

Introduction

MyBBFF provides PPC advertising services, managing campaigns to potentially increase traffic to your website. These terms and conditions govern our PPC services.

Agreement to Terms

By utilizing our PPC services, you (“the Client”) accept these terms and conditions fully, and confirm your authority to bind the entity you represent.

PPC Services Description

We use our knowledge of PPC platforms to create and manage advertising campaigns. However, we do not guarantee any specific results due to the reliance on third-party advertising platforms which frequently update their policies and algorithms.

Client and Company Responsibilities

Client’s Responsibilities: You agree to provide all necessary information and approvals promptly to facilitate the effective management of PPC campaigns.

Company’s Responsibilities: MyBBFF will manage your PPC campaigns based on current best practices and trends in the industry.

Contract Terms

PPC services are offered with either a 6-month or 1-year contractual commitment and automatically renew unless cancelled with a 30-day written notice before the contract renewal date.

Liability

MyBBFF will not be liable for the success or specific performance of any PPC campaigns due to the variability and independence of third-party advertising platforms.

Payment Terms

Payments for PPC services are outlined in the invoice and are non-refundable. Responsibility for the full term’s payment lies with you as stipulated in the contract.

General

These terms are subject to the governing laws of Alberta, Canada, and constitute the complete agreement between you and MyBBFF concerning the PPC services.

Accepted Payment Methods

For monthly payments we only accept automatic payments with credit card on file. For annual payments we also accept mailed cheques, e-transfer, direct deposit. Failure to pay invoices within 30 days of due date will terminate all your services with MyBBFF and we are not liable for any data losses.

Refunds

We do not provide refunds. Due to the nature of our work, we’re not able to recover time spent on projects, so we’re not able to provide refunds for completed or partially completed work. If any issues, let us know immediately. We will do our best to make it right.
